Payment Terms

Payment Schedule:

  • 30% deposit at UAT (User Acceptance Testing) kickoff
  • 30% at go-live
  • 40% upon project completion

Invoicing: Net 15 days. Late payments subject to 2.0% monthly interest.

Terms & Conditions

Services Scope

Professional services include Salesforce configuration, optimization, training, and analytics as outlined in the selected package and any add-ons.

Intellectual Property

Upon payment of all fees, Contractor assigns to Client all right, title, and interest in deliverables created specifically for this engagement. Contractor retains rights to pre-existing methodologies and tools.

Termination

Either party may terminate with 7 days' written notice. Breaches must be cured within 5 days of notification. Client pays for all work completed through termination date.

Confidentiality

Both parties agree to protect confidential information. This obligation survives termination of the agreement.

Warranties

Services will be performed professionally and consistent with industry standards. Contractor warrants no infringement of third-party intellectual property rights.

Limitation of Liability

Total liability is limited to fees paid under this agreement. Neither party is liable for consequential or indirect damages.
