Term & Billing

Contract Term: Month-to-month or project-based as agreed

Billing Structure:

  • Initial deposit: $1,750 (due upon acceptance)
  • Monthly not-to-exceed cap: $3,500
  • Billed monthly in arrears based on actual hours worked
  • Detailed time logs provided with each invoice

Payment Terms: Net 15 days from invoice date. Late payments subject to 3% monthly interest.

Attachment B - Terms & Conditions

Relationship Philosophy

This agreement is built on mutual respect and collaboration. We believe in transparent communication, quality work, and fair compensation. Both parties commit to acting in good faith throughout the engagement.

Warranties & Representations

Consultant warrants that all services will be performed in a professional manner consistent with industry standards. Consultant represents having the necessary expertise and authority to perform the services outlined.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information. This includes business strategies, technical information, customer data, and other confidential materials shared during the engagement.

Intellectual Property

All work product created specifically for Client becomes Client's property upon full payment. Consultant retains ownership of pre-existing methodologies, templates, and general consulting approaches.

Non-Solicitation

During the term and for 12 months after, Client agrees not to solicit Consultant's employees or contractors for employment or engagement.

Independent Contractor

Consultant is an independent contractor, not an employee. Consultant is responsible for all taxes, insurance, and benefits. Consultant maintains control over work methods and schedules.

Termination

Either party may terminate this agreement with 30 days written notice. Client remains responsible for payment of all services performed through the termination date.

Payment Terms

Invoices are due within 15 days of receipt. Late payments incur interest at 3% per month. Consultant may suspend services for overdue accounts exceeding 30 days.

Expenses

Reasonable, pre-approved expenses will be reimbursed with proper documentation. This may include software licenses, travel, or other project-related costs.

Indemnification

Each party agrees to indemnify the other against claims arising from its own negligence or breach of this agreement. Neither party is liable for consequential or indirect damages.

Dispute Resolution

Any disputes will be resolved first through good-faith negotiation. If unsuccessful, disputes will be resolved through binding arbitration in accordance with applicable state laws.

Data Protection

Consultant agrees to comply with GDPR, CCPA, and other applicable data protection regulations when handling Client data. Client is responsible for maintaining appropriate Salesforce licenses and user access.
