Scope of Work
This retainer includes the following services:

Term & Billing Schedule
Retainer Period: 300 hours of consulting time
Hourly Rate: $160/hour
Total Investment: $48,000
Payment Structure:
- Initial deposit: $16,000 (due upon acceptance)
- Remaining balance: Billed monthly as hours are used
- Hours expire after 12 months from start date
Terms & Conditions
1. Services
Consultant agrees to provide Salesforce consulting services as outlined in this agreement, including but not limited to system configuration, customization, data management, training, and ongoing support.
2. Term
This agreement begins on the date of acceptance and continues until all retainer hours are exhausted or 12 months have passed, whichever comes first.
3. Payment Terms
Client agrees to pay the initial deposit within 7 days of acceptance. Remaining hours will be billed monthly in arrears based on actual time spent. Payment is due within 30 days of invoice date.
4. Hour Tracking
All consulting time will be tracked in 15-minute increments. Monthly invoices will include detailed time logs. Unused hours expire after 12 months.
5. Scope Changes
Any work outside the defined scope may require additional hours or a separate agreement. Consultant will notify Client before performing out-of-scope work.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement.
7. Intellectual Property
All deliverables created specifically for Client become Client's property upon full payment. Consultant retains rights to general methodologies and pre-existing materials.
8. Data Security
Consultant agrees to follow industry-standard security practices when accessing Client's systems and data. Client is responsible for maintaining appropriate Salesforce licenses and access.
9. Limitation of Liability
Consultant's liability is limited to the total fees paid under this agreement. Consultant is not liable for consequential or indirect damages.
10. Termination
Either party may terminate this agreement with 30 days written notice. Upon termination, Client will be invoiced for all hours used to date. Unused deposit amounts are non-refundable.
11. Governing Law
This agreement is governed by the laws of [Your State/Country]. Any disputes will be resolved through binding arbitration.
